4.0 Solutions - Terms of Service (TOS)

These Terms of Service (“Terms”) govern your access to and use of all products and services provided by 4.0 Solutions (“Company,” “we,” “us,” or “our”), including but not limited to:

IIoT University (learning platform and on-demand training)

Subscription memberships (Mentorship, IIoT Pro, Mastermind)
-
Workshops, bootcamps, and live events
-
Consulting, advisory, and private training services
By accessing or using any services, you agree to be bound by these Terms. If you do not agree, do not use the services.
1. GENERAL TERMS
1.1 Acceptance of Terms
Use of any services constitutes acceptance of these Terms.
1.2 Independent Relationship
Nothing in these Terms creates a partnership, joint venture, fiduciary relationship, or agency relationship between you and 4.0 Solutions.
1.3 Intellectual Property
All content, materials, and information provided by 4.0 Solutions including but not limited to:

videos, training materials, and course content

frameworks, methodologies, and strategies

mentorship sessions and advisory discussions
are the exclusive property of 4.0 Solutions.
You may not:

copy, reproduce, distribute, or resell content
-
share access credentials
-
record or redistribute mentorship or advisory sessions
without prior written consent.
1.4 Confidentiality
In connection with services, both parties may exchange non-public, confidential information (“Confidential Information”).
Client Confidential Information
4.0 Solutions will treat client-provided information that is reasonably understood to be confidential, including business strategies, operations, and systems, as confidential and will not disclose it except as necessary to provide services and as required by law.
Company Confidential Information
All materials, methodologies, frameworks, strategies, and advisory insights provided by 4.0 Solutions are confidential and may not be:

shared
-
disclosed
-
used for third-party benefit
without written consent.
Exclusions
Confidential Information does not include information that:
-
is publicly available without breach
-
was previously known without restriction
-
is independently developed
Use Limitation
Confidential Information may only be used in connection with services under these Terms.
Survival
Confidentiality obligations survive for five (5) years or as long as the information remains a trade secret.
1.5 Payment & Subscription Terms

Payment must be made in full prior to access

Subscriptions auto-renew unless canceled prior to renewal
-
Users are responsible for managing subscriptions
1.6 Refund & Cancellation Policy
All purchases are final except where required by applicable law.
Cancellation:

prevents future billing
-
does not result in refunds for prior payments
Access is revoked upon cancellation unless otherwise stated.
1.7 Code of Conduct
Users must:

act respectfully
-
not share credentials
-
not misuse platform access
Violation may result in suspension or termination.
1.8 Account Security
Users are responsible for:

maintaining account security
-
all activity under their account
2. ADVISORY, CONSULTING & TRAINING SERVICES
2.1 Nature of Services
Consulting, mentorship, and advisory services are:

strategic
-
informational
-
non-operational
4.0 Solutions does not:
-
implement strategies
-
manage operations
-
make business decisions on your behalf
No advisory or consulting engagement shall be deemed ongoing or continuous unless expressly set forth in a separate written agreement.
2.2 No Reliance / Decision Responsibility
You acknowledge that:

all decisions are your responsibility
-
you are not relying on 4.0 Solutions as a fiduciary or decision-maker
2.3 No Guarantees
4.0 Solutions makes no guarantees regarding:
-
business outcomes
-
revenue growth
-
career advancement
2.4 Default Consulting Terms
If consulting, advisory, mentorship, or training services are purchased directly through the website or platform without a separate written agreement, proposal, or statement of work, such services shall be governed exclusively by these Terms of Service. In such cases, all consulting or advisory services shall be deemed limited in scope to the description provided at the time of purchase and shall be subject to the limitations, disclaimers, and liability provisions set forth herein.
3. PLATFORM & MEMBERSHIP TERMS

Access is limited to active subscriptions

Content access ends upon cancellation

IIoT Pro non-rejoin rule remains enforceable
4. EVENTS, WORKSHOPS & TRAINING

All registrations are non-refundable
-
Access to replays is limited per program terms
-
No resale or redistribution permitted
5. MONITORING & ENFORCEMENT
4.0 Solutions may monitor usage solely to:

enforce compliance
-
protect platform integrity
We may:
-
restrict access
-
suspend accounts
-
terminate accounts
for violations.
6. DISCLAIMER OF WARRANTIES
All services are provided “as is” and “as available.”
We disclaim all warranties, including:

merchantability
-
fitness for a particular purpose
-
non-infringement
7. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
4.0 Solutions shall not be liable for:

indirect, incidental, or consequential damages
-
loss of profits, revenue, or data
Total liability shall not exceed:
the amount paid by you in the 12 months preceding the claim
8. INDEMNIFICATION
You agree to indemnify and hold harmless 4.0 Solutions from any claims arising from:

your use of services
-
violation of these Terms

misuse of materials
9. FORCE MAJEURE
We are not liable for delays or failure due to events beyond our control, including:

outages
-
natural disasters
-
government actions
10. CHANGES TO TERMS
We may update these Terms at any time. It is the user’s responsibility to check for updates.
11. GOVERNING LAW
These Terms are governed by the laws of the State of Texas.
All disputes shall be resolved exclusively in Texas courts.
